About the role

Overview
  • The role of the Company Secretary is to provide a comprehensive range of company secretarial services in conjunction with high-quality relationship management to a suite of ASX listed clients.
  • Deliver company secretarial services to clients that meet or exceed agreed service standards.
  • Collaborate and work closely with our team of Assistant Company Secretaries and Company Secretarial Assistants to deliver market-leading service levels.
 

Key responsibilities

  • Act as the Company Secretary to a portfolio of ASX listed entities, managing all levels of company secretarial compliance including appropriate delegation of tasks to more junior team members.
  • Provide advice on compliance with the ASX listing rules, including continuous disclosure requirements, including responsibility for all lodgements relating to securities and directors’ interests’ notices and drafting Corporate Governance Statements.
  • Co-ordinate, attend and minute board meetings, manage annual board calendars and workplans.
  • Full project management of shareholder meetings, including managing timetables, drafting notices of meeting, preparing run sheets and presentations, and attend and minute the meeting.
  • Ensure that the ASIC record is kept up to date at all times.
  • Maintain the statutory books and records including share registry maintenance.
  • Providing Company Secretarial advice and guidance to clients on a range of matters including company secretarial practice and compliance, board processes and corporate governance.
  • Work closely with the Boards and Executive teams of client companies.
  • Support and assist other team members with gaps in their knowledge and skills. There may be opportunities to manage or mentor junior team members.

 

Knowledge & experience

Ideally you will have:
  • At least 4 years practical experience with compliance and general corporate secretarial duties. 
  • Outstanding meeting management skills, including effective minute taking.
  • Exceptional customer service and pro-active relationship management skills.
  • Excellent verbal and written communication skills.
  • Highly organised and ability to prioritise and manage multiple tasks.
  • Outstanding attention to detail and accuracy.
  • Ability to work effectively under pressure.
  • High level of initiative and work well in a team environment.
